By submitting your Content and consenting to this agreement, you agree that Connected Ventures, LLC may use your submission(s), including the name, text, image(s) and/or video(s) in the submission and any ideas or other creative materials contained therein (collectively "Content") as set forth in this agreement. As used herein, the term “Content” shall include your name, voice, image, likeness, biographical material, location, profile information, and other personal characteristics as they appear in your submission. You consent to, and assume all risks of, Producer’s inclusion of any such information in Producer’s program(s) or otherwise in its sole discretion. You waive any right to inspect, review, approve or object to any use (including any editing / dubbing / fictionalization) of the Content by Producer.

You hereby grant Connected Ventures, LLC and its parent, subsidiary and affiliated entities, and each of their respective agents, licensees, successors and assigns (collectively “Producer”) a non-exclusive, royalty-free, worldwide, perpetual, irrevocable and fully sublicenseable right and license to share, comment on, reproduce, modify, adapt, translate, distribute, publish, publicly display, and otherwise use the Content in any and all media, now known or hereafter devised, including without limitation websites, social media accounts and mobile applications, for any purpose, including for promotional and publicity purposes. You agree to take any actions (including execution of documents) reasonably requested by Producer to effect, perfect or evidence the representations and/or licenses and rights set forth in this agreement. You understand that you will not be paid for Producer’s use of your Content as described in this agreement, and that Producer is not required to use or publish your Content in any specific way or on a specific platform or use or publish your Content at all. Nothing herein will be interpreted as a waiver of Producer’s rights to the Content under federal and state common law and statutes, such as rights of public domain and fair use. You are not transferring your ownership of the Content to Producer, and you will continue to own the Content that you post.

You represent and warrant that (a) you are at least 18 years of age and are legally eligible to work in the United States on the Program, (b) no one other than you appears in the Content, (c) you own and control all right, title and interest in and to the Content or you otherwise have all rights, permissions and consents necessary to post and use such Content and grant the license being granted hereunder (including, without limitation, the right to use names, images and likenesses of any third party referenced or appearing in the Content), (d) Producer’s use of the Content will not give rise to any claims for any payment whatsoever, including, but not limited to, claims for royalties, re-use fees or residuals, and (e) your submission discloses any material connections you have to any brands, products or services that appear in or are referenced in your Content.

You acknowledge that you have no right to approve Producer’s use of the Content as set forth in this agreement, and, to the maximum extent possible, you hereby waive any and all rights you may have or claim to have under any law relating to “moral rights of authors” or any similar law, or as a result of any alleged violation of such rights. You agree not to bring any action on the ground that any changes, deletions, additions, or other uses of the Content violate such rights.

To the fullest extent of the law, you, on behalf of yourself and your heirs and assigns, hereby release, discharge and indemnify Producer and any other person acting on its behalf from any from any liability, claim, damage, judgment, cost, loss, expense (including attorneys’ fees) of any kind or nature arising from the use of the Content including, without limitation, those based upon copyright, any rights of privacy, publicity, defamation, or any other personal or property right, and agree that you shall not now or in the future assert or maintain any such claim against Producer. You further agree to waive any rights to injunctive relief you may have in connection with this agreement, including to enjoin the distribution, exhibition or other exploitation of any materials, and your rights and remedies shall be strictly limited to the right to recover damages, if any, in an action at law.

This is the entire agreement between you and Producer, superseding any prior understandings and communications with respect to the Content. Producer may assign, transfer, license, delegate, and/or grant any or all of its rights hereunder to any person or entity without restriction. This agreement cannot be amended except by a written document signed by an Producer authorized representative. This agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to the conflict of laws provisions thereof. Any controversy or claim arising out of or relating to this agreement, or the breach thereof, shall be settled by binding arbitration in the County of Los Angeles, California, in accordance with the rules of JAMS, and judgment upon the award rendered by the arbitrators may be entered in any court having jurisdiction thereof. The arbitrators will be selected from a panel of persons having experience with and knowledge of entertainment industry. Each party hereby waives any and all rights (whether for damages or for injunctive or other relief) and benefits which he or it might otherwise have or be entitled to under the laws of the State of California to litigate in court any dispute. Except as may be required by law, neither a party nor an arbitrator may disclose the existence, content, or results of any arbitration hereunder without the prior written consent of both parties. If any part of this agreement is deemed to be invalid or unenforceable, you agree that this agreement will nonetheless be enforced to the maximum extent to which it is found to be legally enforceable. You are submitting this agreement with the express understanding that Producer will review and evaluate the Content solely and completely in reliance upon this agreement and your covenants and warranties herein. You specifically acknowledge that Producer would refuse to review, and will not review, the Content in the absence of my agreement to each and every provision of this agreement. Producer will have the right to return or destroy any Content if such consent is not given. You have retained at least one copy of the Content, and you hereby release Producer of all liability for loss or destruction of, or damage to, said Content.
